1 Definitions
Client means individuals or entities that are FIIG’s clients including each individual or entity identified as an ‘investment entity’ in FIIG’s “Opening a FIIG Client Account” form.
FIIG means FIIG Securities Limited ABN 66 085 661 632.
Financial Advisor means an Australian financial services licence holder, its employees, officers and representatives acting on behalf of a Client.
Firm means there is a firm commitment by a Financial Advisor (on behalf of a Client) or Client to execute a Trade Request and if executed there is an obligation on the Client to settle the trade.
MyFIIG means FIIG’s online client portal and website.
Trade Requests means submitting an online request to FIIG on behalf of a Client to transact in a security or securities through myFIIG at a price and in a volume to be agreed.
2 Application and scope of terms and conditions
2.1 These terms and conditions are legally binding on Financial Advisors and Clients and will apply on the basis set out below to all Trade Requests.
2.2 The terms and conditions hereinafter set out relate to submitting Trade Requests using myFIIG and are in addition to and without prejudice to any other terms and conditions agreed with FIIG.
3 Submitting Trade Requests
3.1 A Trade Request is an expression of interest only with no commitment or obligation by a Financial Advisor (on behalf of a Client), a Client or FIIG to complete the transaction.
3.2 A Financial Advisor (on behalf of a Client) or the Client is responsible and undertakes to contact FIIG to confirm their Trade Request before the Trade Request becomes or may be accepted as a firm order by FIIG in accordance with these terms and conditions.
4 Financial Advisors
4.1 Where access to myFIIG is provided to a Financial Advisor acting on behalf of a Client and the Financial Advisor submits a Trade Request, the Financial Advisor is responsible for and undertakes to FIIG to ensure the Client is aware of and agrees to comply with these terms and conditions and any Trade Request.
4.2 Financial Advisors and their Clients using myFIIG to submit Trade Requests warrant that they have received and read FIIG’s Financial Services Guide and agree to be bound by the terms and conditions of dealing with FIIG, contained therein.
5 Offer documentation
5.1 Financial Advisors and their Clients using myFIIG to submit Trade Requests are responsible and undertake to read and understand the terms and conditions of any investment they wish to make as may be set out in the respective offer documentation.
6 Estimated Price
6.1 The estimated price for all Trade Requests is provided in Australian dollars and is subject to change without notice.
7 Yields and Prices
7.1 Yields and prices are indicative only and there is no guarantee as to their accuracy. FIIG reserves the right to change rates and pricing without notice.
7.2 Yields and prices are determined by FIIG and sourced from leading market makers and data services as well as any available market information and feedback when market volume and turnover is low or not transparent. Yields and prices will be impacted by transaction size, the issuer’s financial circumstances, market and economic conditions and the supply and demand dynamics prevailing at the time the Client’s securities are bought and sold, amongst other things.
7.3 The historical yield, price or performance of a security is no guarantee of their future performance.
7.4 Yields and prices are not an offer by FIIG to buy or sell the securities. Should the Client wish to sell their securities prior to maturity, FIIG will use its best endeavours to assist the Client to sell those securities. However, FIIG does not make a market in the securities.
8 FIIG Originated Bonds
8.1 FIIG may have been engaged by an issuer and received a fee to arrange the issue and sale of securities by the company. FIIG, its directors and employees and related parties may have an interest in the company and any securities issued by the company and earn fees or revenue in relation to dealing in those securities.
9 Foreign exchange contracts
9.1 FIIG is not licensed to provide hedging or foreign exchange contracts services.
10 Limitation of liability
10.1 While care is taken to ensure that information available for access on myFIIG is timely and correct and that myFIIG (including Trade Requests) will function as intended, under no circumstances will FIIG be liable to pay compensation, nor will FIIG accept responsibility or any liability, for any loss arising from any information, errors or omissions on data accessed or submitted nor will FIIG be liable for any breakdown or malfunction of myFIIG (regardless of the cause or fault) to any other party or Client.
10.2 FIIG shall in no circumstances be liable to any Client or Financial Advisor for any losses, claims or inconvenience that arises from the placement of a Trade Request through myFIIG by a Financial Advisor (on behalf of a Client) or a Client unless any such losses, claims or inconvenience arises from fraud or a wilful act attributed to FIIG or any of its officers or employees.
10.3 FIIG provides general financial product advice only. As a result, this document, and any information or advice, has been provided by FIIG without taking account any Client objectives, financial situation and needs. Because of this, Client’s should, before acting on any advice from FIIG, consider the appropriateness of the advice, having regard to the Client’s objectives, financial situation and needs. If this document, or any advice, relates to the acquisition, or possible acquisition, of a particular financial product, Client’s should obtain a product disclosure statement relating to the product and consider the statement before making any decision about whether to acquire the product.
10.4 Neither FIIG, nor any of its directors, authorised representatives, employees, or agents, makes any representation or warranty as to the reliability, accuracy, or completeness, of this document or any advice. Nor do they accept any liability or responsibility arising in any way (including negligence) for errors in, or omissions from, this document or advice. FIIG, its staff and related parties earn fees and revenue from dealing in the securities as principal or otherwise and may have an interest in any securities transacted.
10.5 Any reference to credit ratings of companies, entities or financial products must only be relied upon by a ‘wholesale client’ as that term is defined in section 761G of the Corporations Act 2001 (Cth).
